Introduction

With this proposal, we offer the opportunity to initiate the development of a series of PBRC algae cultivation plants aimed at producing specific algal strains. These plants are designed to ensure significant flexibility and can receive various nutrient feeding diets, contributing to a sustainable approach in biomass production

The collection and use of microalgae is a very ancient practice, dating back to pre-Columbian civilizations. The Aztecs cultivated Spirulina platensis (Arthrospira) over 5,000 years ago in Lake Texcoco, Mexico.

Today, among the Kanembu people of Chad and Nigeria, microalgae are still harvested from Lake Kossorom. Filtered and dried, they are used in various culinary forms, including souce, a highly nutritious vegetable broth.

Between: Vito Lavanga, with offices in Milan, Italy, referred to as the "Licensor" (on one side), and GSMF-WTeam (a company to be established as an Srls), represented by FS.ad.x, referred to as the "Licensee" (on the other side), acknowledging that this agreement will be ratified upon company formation, and further acknowledging that the Licensor possesses technical, commercial, and application know-how pertinent to patent IT, No. 0001427137, which is of interest to the Licensee, the parties agree and stipulate the following terms:

Article 1: The Licensor authorizes the Licensee to produce and sell the products made using the provided know-how and patent, whether communicated in writing, verbally, in person, or electronically.

Article 2: The license, non-exclusive for the Province of Milan, cannot be transferred to third parties without the prior consent of the Licensor. The actual annual compensation will be reflected in the financial statements (B.7, per art. 2425 of the Italian Civil Code, enabling Patent Box benefits with halved IRES/IRAP in Italy). Subject to further agreements, for balance sheet purposes (B I.3 per art. 2424 of the Italian Civil Code), the license is convertible into a transfer of rights with a doubled and guaranteed annual advance.

Photo Bio Reactor Continuous (PBRC)

PBRC is an integrated and compact system designed for the cultivation of microalgae (unicellular organisms), in combination with appropriately sized anaerobic digesters. It is targeted towards small manufacturing companies in the agri-food sector as well as urban and peri-urban settlements.

The system features an innovative hydraulic design aimed at the joint production of oil and protein products for energy purposes and human and animal consumption (feed-food chain), as well as for the chemical-pharmaceutical industry.
